1. Introduction
These Terms of Service ("Terms") govern your access to and use of the website, platform, products, and services made available at https://fluxor.io and related domains, subdomains, mobile applications, communication channels, and tools (collectively, the "Platform" or "Services") operated by Fluxor HQ Private Limited, a company incorporated under the Companies Act, 2013, with its registered office in Delhi, India ("Fluxor," "Company," "we," "us," "our").
By accessing or using the Platform, creating an account, registering for a hackathon, or clicking "I Agree" (or similar), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, you must not access or use the Platform.
2. Eligibility and Accounts
Fluxor may suspend, restrict, or terminate your account if you breach these Terms or any applicable law, or if necessary for security, fraud prevention, or platform integrity.
2.1 Eligibility
By using the Platform, you represent and warrant that you meet all eligibility requirements and are legally competent to enter into a binding contract under the Indian Contract Act, 1872.
- You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and use the Services independently.
- Users aged 13–17 may use the Platform only with the consent and supervision of a parent or legal guardian and subject to any additional age or eligibility criteria set for a hackathon.
- Additional eligibility conditions (such as residency, student status, or employment status) may apply to specific hackathons, programs, or prizes and will be specified in the event's official rules.
2.2 Account Registration
To access certain features, you must create an account by providing accurate, current, and complete information and keep such information updated. You may register:
Using an email and password, and/or
Through a third-party login provider (e.g., Google, GitHub), in which case you authorize us to access basic profile information from that provider according to their terms.

3. Scope of Services
Fluxor acts primarily as an intermediary and technology service provider and is not a party to independent contractual relationships among participants, organizers, sponsors, employers, or third parties, unless expressly stated otherwise.
- Hosting and management of online and offline hackathons, challenges, tech sprints, and related events.
- Participant registration, team formation, submissions, judging, scoring, awarding of prizes, and issuance of digital certificates.
- Event organizers and sponsors to configure events, set rules, define evaluation criteria, and manage communication with participants.
- AI-powered tools, including Flinch AI, for matching users to events, team recommendations, and guidance during hackathons.
- Issuance of digital credentials, including blockchain-based or NFT-backed certificates, to record achievements.
4. User Types and Event-Specific Rules
Depending on your use of the Platform, different roles may apply:
Participant / User: You register for or participate in hackathons or other events.
Organizer / Host: You create, host, or manage a hackathon or event.
Sponsor: You support or sponsor an event with funding, resources, or prizes.
Employer / Recruiter: You use the Platform for hiring, talent discovery, or outreach to participants.
Event Rules
Each hackathon or event hosted on the Platform may have its own official rules, eligibility criteria, and terms (collectively, "Event Rules") published on the event page. In case of conflict between these Terms and any Event Rules for a particular event, the Event Rules will govern solely for that event, while these Terms continue to apply to general Platform use.
5. User Obligations and Acceptable Use
Fluxor may remove or restrict any content or account that, in its sole discretion, violates these Terms or poses risk to users, the Platform, or third parties.
5.1 General Obligations
You agree to:
- Use the Platform only for lawful purposes and in accordance with these Terms and applicable laws.
- Provide accurate information and keep it up to date.
- Respect the intellectual property rights and privacy of others.
- Comply with all Event Rules for any hackathon or challenge you join.
5.2 Prohibited Conduct
You must not:
- Host, upload, post, share, or transmit any content that is illegal, harmful, defamatory, obscene, offensive, or otherwise in violation of applicable laws, including Indian IT Act and intermediary guidelines.
- Infringe upon any third party's copyright, trademark, patent, trade secret, moral rights, privacy, or other rights.
- Engage in fraud, impersonation, misrepresentation of identity, or misstatement of your qualifications or affiliation.
- Circumvent or interfere with security features, access controls, or technical protections of the Platform.
- Deploy malware, bots, scraping tools, or automated systems that burden or disrupt the Platform, except where expressly allowed via API or documented integrations.
- Attempt to gain unauthorized access to any accounts, systems, or networks connected to the Platform.
- Use the Platform for spamming, unsolicited marketing, phishing, or any harmful communication.
- Collect or harvest data about other users except as permitted by these Terms and applicable law.
- Host prohibited content, including content that promotes violence, terrorism, hate speech, discrimination, or threatens public order, public health, or safety.
6. User Content and Submissions
6.1 Definitions
- "User Content" means any data, text, images, audio, video, code, links, comments, messages, documentation, or other material that you upload, submit, post, share, or otherwise provide through the Platform.
- "Submissions" means any project, prototype, code, demo, presentation, or related material submitted for the purposes of a hackathon or challenge.
6.2 Ownership of User Content
Except as otherwise set out in Event Rules or separate agreements with organizers/sponsors, you retain ownership of your User Content and Submissions.
- Ensuring your User Content and Submissions are your original work or that you have obtained all necessary rights and permissions.
- Ensuring your content does not infringe any third-party rights, including intellectual property and privacy rights.
- Compliance with any open-source licenses, third-party APIs, or datasets incorporated into your Submission.
You are solely responsible for:

6.3 License to Fluxor
To operate and improve the Platform, you grant Fluxor a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, perform, adapt, modify, distribute, and otherwise use your User Content and Submissions:
- To operate the Platform and Services.
- To display Submissions in event galleries, portfolios, and leaderboards.
- To generate and display digital certificates and verifiable credentials.
- For promotional purposes relating to the Platform and events (unless you opt out where offered).
License Persistence
This license persists for as long as your content is hosted on or used through the Platform, subject to applicable data retention and Event Rules.
6.4 License to Organizers and Sponsors
For each event you join, you may grant additional rights to the Organizer and/or Sponsors as described in the applicable Event Rules, which may include:
- Rights to evaluate, test, and review your Submission.
- Rights to feature winning or notable Submissions in promotional materials.
- In some cases, rights to use, develop, or commercialize winning Submissions, if explicitly described in the Event Rules.

6.5 Public Display and Portfolio Use
By default, certain User Content (such as your profile, public Submissions, and achievements) may be visible to other users, organizers, sponsors, and, where configured, to employers or the public. You can adjust certain visibility settings in your account where the Platform provides such controls.
7. Intellectual Property
7.1 Fluxor IP
The Platform and all content created or provided by Fluxor, including but not limited to the logo, trademarks, trade names, design elements, user interface, software code (excluding your code), text, graphics, illustrations, and other materials ("Fluxor Content") are owned by or licensed to Fluxor and protected by copyright, trademark, and other laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Fluxor Content solely for personal, non-commercial use of the Services, subject to these Terms.
- Copy, modify, create derivative works based on, distribute, sell, lease, or license any Fluxor Content.
- Use any Fluxor trademarks, logos, or branding without prior written permission.
- Remove or alter any copyright, trademark, or proprietary notices.
You must not:

7.2 Third-Party IP
The Platform may display or integrate content, software, or services owned by third parties (e.g., GitHub, cloud providers, video services, or NFT/blockchain providers). Such third-party content is governed by its respective owner's licenses and terms.
8. Event Rules, Judging, and Prizes
8.1 Event Rules
Each hackathon or challenge may have detailed rules covering eligibility, judging criteria, timelines, disqualification criteria, and prize structures. These Event Rules form a binding agreement between you and the respective organizer/sponsor when you register or participate.
8.2 Judging and Decisions
Fluxor is not responsible for the fairness or outcome of judging processes conducted by independent organizers or sponsors, unless Fluxor is explicitly designated as the organizer.
- Submissions may be judged by organizers, sponsors, mentors, or external judges.
- Evaluation criteria and scoring models will be described in the event page or Event Rules.
- All judging decisions are final and binding, except where prohibited by law.
8.3 Prizes, Rewards, and Payments
Fluxor may act as a facilitator for prize disbursement but is not liable for any prize or benefit promised solely by an Organizer or Sponsor.
- Prize details, payment terms, and eligibility conditions will be specified in Event Rules.
- Taxes, deductions, and compliance obligations (e.g., TDS in India) related to prizes are your responsibility unless specified otherwise.
- Fluxor and/or the Organizer reserve the right to withhold or revoke prizes if fraud, ineligibility, or rule violations are detected.
9. AI Features and Automated Processing
Fluxor may offer AI-powered features, including Flinch AI, which provide recommendations, team suggestions, content generation, and other automated assistance based on your profile, activity, and other data.
- AI outputs are generated automatically and may not always be accurate or appropriate.
- You are responsible for reviewing and verifying any AI-generated recommendations or content before relying on them.
- AI features must not be used to generate or disseminate harmful, illegal, or prohibited content.
- You may opt out of certain AI-driven personalization where such controls are provided.
AI Disclaimer
No AI feature shall be deemed to provide professional, legal, or financial advice.
10. Privacy and Data Protection
Your use of the Platform is governed by the Fluxor Privacy Policy, which describes how personal data is collected, used, shared, and protected in compliance with Indian law (including the Digital Personal Data Protection Act, 2023) and relevant international requirements.
By using the Services, you consent to the collection and processing of your information as described in the Privacy Policy.
11. Third-Party Services and Links
The Platform may contain links to or integrate with third-party websites, applications, APIs, and services (collectively, "Third-Party Services").
- Fluxor does not control and is not responsible for Third-Party Services, their content, or their practices.
- Your use of Third-Party Services is subject to their terms and privacy policies.
- Inclusion of a link or integration does not imply endorsement or affiliation.
12. Suspension and Termination
12.1 By You
You may stop using the Platform at any time and request account deletion through your account settings or by contacting support, subject to data retention obligations and Event Rules.
12.2 By Fluxor
Fluxor may suspend or terminate your account or restrict access to the Services, with or without notice, if:
- You violate these Terms, Event Rules, or applicable law.
- Your actions pose a security, legal, or reputational risk to Fluxor or others.
- Required by law, court order, or governmental authority.
- The Platform or a feature is discontinued.
Upon termination:
- Your right to use the Services immediately ceases.
- Certain User Content may be retained or displayed (e.g., event result archives, Submissions) in line with the Privacy Policy and Event Rules.
- Provisions that by their nature should survive (e.g., intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
13. Disclaimers
To the maximum extent permitted by law:
The Platform and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
Fluxor disclaims all implied warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and accuracy of information.
Fluxor does not warrant that the Platform will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
Fluxor does not guarantee the outcome of any event, match, team formation, hiring process, or commercial opportunity arising from use of the Platform.
Any content downloaded or obtained through the Platform is accessed at your own discretion and risk.
14. Limitation of Liability
To the fullest extent permitted under applicable law and subject to Sections 73 and 74 of the Indian Contract Act, 1872:
Fluxor, its directors, employees, officers, agents, affiliates, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Services, even if advised of the possibility of such damages.
Fluxor's aggregate liability to you for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of:
The total fees (if any) paid by you to Fluxor for the Services giving rise to the claim in the twelve (12) months preceding the event giving rise to such liability; or
INR 10,000 (Ten Thousand Indian Rupees).
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, gross negligence or willful misconduct where such exclusion is prohibited).
15. Indemnity
You agree to indemnify, defend, and hold harmless Fluxor, its directors, officers, employees, agents, affiliates, and partners from and against any and all claims, demands, disputes, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or in any way connected with:
Your access to or use of the Platform or Services.
Your User Content or Submissions, including alleged or actual infringement of third-party rights.
Your violation of these Terms, Event Rules, or applicable law.
Any dispute between you and any Organizer, Sponsor, participant, or third party.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
You agree that, subject to any mandatory consumer protection rights:
The courts of Delhi, India shall have exclusive jurisdiction over all disputes arising out of or relating to these Terms or your use of the Platform.
You consent to the personal jurisdiction and venue of such courts.
17. Grievance Redressal and Notices

Complaint Submission

The Grievance Officer will acknowledge valid complaints within the legally prescribed timeframe and seek to resolve them in accordance with applicable law.

18. Changes to the Services and Terms
Fluxor reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, including adding or removing features.
Fluxor may update these Terms from time to time. When changes are material:
A notice will be posted on the Platform and/or sent via email.
The "Last Updated" date at the top will be revised.
Your continued use of the Platform after the effective date of updates constitutes your acceptance of the revised Terms.
If you do not agree with the updated Terms, you must stop using the Services and may request account deletion.
19. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and applicable Event Rules, constitute the entire agreement between you and Fluxor regarding the Services, superseding any prior agreements.
- No Waiver: Failure to enforce any provision will not be construed as a waiver of that provision or any other provision.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without Fluxor's prior written consent. Fluxor may assign its rights or obligations in connection with a merger, acquisition, or sale of assets.
- Relationship: Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Fluxor.
- Force Majeure: Fluxor shall not be liable for any failure or delay due to events beyond its reasonable control, including but not limited to natural disasters, war, acts of government, internet failures, or cyberattacks.
